1. Introduction and Acceptance of Terms

Welcome to www.venturehome.com (the “Site”), operated by Venture Home Solar, LLC, doing business as Venture Home (“Venture Home,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our Site, mobile communications, and related services (collectively, the “Services”).

By accessing or using our Site, enrolling in our mobile messaging program, or engaging our installation or energy services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date above and, where appropriate, by providing additional notice (such as an email or an in-site notification). Your continued use of the Services after any such change constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use our Services or enter into any agreement with Venture Home. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts. Our mobile messaging program is available only to individuals who are 13 years of age or older; however, any purchase, lease, or service agreement requires you be at least 18 years old.

3. Mobile Messaging Terms and Conditions

These Mobile Terms and Conditions (“Mobile Terms”) apply to your participation in Venture Home’s text messaging program and are incorporated into and subject to these Terms.

3.1 Program Description

When you opt in, you will receive SMS and/or MMS messages from Venture Home regarding: appointment reminders and scheduling confirmations; special offers, promotions, and notifications related to solar, battery backup, EV charging, and related energy products; service updates and installation status alerts; and general program communications.

Message frequency: up to 4 messages per month. Message and data rates may apply depending on your mobile carrier plan.

3.2 How to Opt In

You may opt in to our mobile messaging program by: texting JOIN to 48207; completing an online form on our Site that includes express consent to receive text messages; or by providing your mobile number and checking the consent box when scheduling an appointment or requesting a quote.

By opting in, you expressly consent to receive recurring automated marketing and informational text messages (including messages sent via automated technology) from Venture Home at the mobile number you provided. Consent to receive marketing messages is not required as a condition of purchasing any goods or services.

3.3 How to Opt Out (STOP)

Text STOP to 48207 at any time to cancel your enrollment in the Venture Home messaging program. After texting STOP, you will receive one final confirmation message. Following that confirmation, you will not receive further promotional text messages from Venture Home unless you re-enroll. You may also opt out by contacting us at contact@venturehome.com.

3.5 Supported Carriers

Venture Home’s text messaging program is supported by major U.S. wireless carriers, including but not limited to: AT&T, T-Mobile®, Verizon Wireless, Sprint, Boost Mobile, Cricket Wireless, MetroPCS, U.S. Cellular, Virgin Mobile, and many regional carriers. T-Mobile is not liable for delayed or undelivered messages. Carrier support may change without notice.

3.6 Privacy

We take your privacy seriously. We will not sell or share your mobile number with third parties for their own marketing purposes. For more information, please review our Privacy Policy at www.venturehome.com/privacy/.

4. Website Terms of Use

4.1 Permitted Use

You may use our Site for lawful personal, non-commercial purposes in connection with evaluating, purchasing, leasing, or maintaining solar energy systems and related products or services offered by Venture Home. You agree not to:

  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site.
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or systems connected to the Site.
  • Transmit any advertising or promotional material without our prior written consent.
  • Use the Site in any way that violates applicable federal, state, or local laws or regulations.

4.2 Accuracy of Information

We strive to ensure that all information on our Site is accurate and up to date. However, we do not warrant that product descriptions, pricing, availability, incentive information, or other content is accurate, complete, current, or error-free. Pricing and incentive information is subject to change without notice. Energy production estimates are illustrative and not guaranteed.

4.3 Third-Party Links

Our Site may contain links to third-party websites or services that are not owned or controlled by Venture Home. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. We encourage you to review the terms and privacy policy of any third-party site you visit.

5. Products and Installation Services

5.1 Quotes and Proposals

Any quote, estimate, or proposal provided by Venture Home is valid for 30 days from the date of issuance unless otherwise specified in writing. Quotes are based on information available at the time of assessment and are subject to change following a site inspection.

5.2 Service Agreements

Installation, lease, loan, and service agreements are governed by separate written contracts signed by both parties. In the event of any conflict between these Terms and a separate signed service agreement, the terms of the signed service agreement will control.

5.3 Installation

Venture Home will perform all installations in accordance with applicable federal, state, and local codes and regulations. You agree to provide reasonable access to your property and to cooperate in obtaining any necessary permits. Lead times and installation schedules are estimates and are subject to change due to permitting, utility interconnection, weather, and supply chain conditions.

5.4 Warranties

Product warranties (e.g., panel, inverter, battery) are provided directly by the respective manufacturers and are subject to their individual terms. Venture Home provides a separate workmanship warranty on all installations, the duration and scope of which will be specified in your service agreement. Please review your service agreement and manufacturer documentation for full warranty details.

5.5 Cancellation and Refunds

Cancellation rights, refund policies, and any applicable rescission periods are set forth in your signed service agreement and/or as required by applicable state law. Many states provide a right to cancel certain home-solicited contracts within 3 business days. Please review your state-specific disclosures carefully.

6. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, and software, is the property of Venture Home Solar, LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows: your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; you may store files that are automatically cached by your web browser for display enhancement purposes; and you may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use.

7. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VENTURE HOME SOLAR, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Nothing in these Terms shall affect any statutory consumer rights that cannot be waived under applicable law.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VENTURE HOME SOLAR, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES.

Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to Venture Home in the 12 months preceding the claim, or (b) $1,000.

9. Indemnification

You agree to defend, indemnify, and hold harmless Venture Home Solar, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site’s content other than as expressly authorized in these Terms.

10. Privacy and Regulatory Compliance

10.1 Privacy Policy

Your use of the Site and Services is also governed by our Privacy Policy, available at www.venturehome.com/privacy/, which is incorporated into these Terms by this reference. Please review our Privacy Policy carefully.

10.2 California Consumer Privacy Act (CCPA / CPRA)

If you are a California resident, you have certain rights under the California Consumer Privacy Act (as amended by the California Privacy Rights Act), including the right to know what personal information we collect, the right to delete your personal information, the right to opt out of the sale or sharing of your personal information, and the right to non-discrimination for exercising your rights. 10.3 State-Specific Rights

Residents of Connecticut, Maine, Maryland, Massachusetts, New Hampshire, New Jersey, New York, Pennsylvania, and Rhode Island may have additional privacy rights under applicable state laws. Please review our Privacy Policy for state-specific disclosures. Venture Home complies with all applicable state consumer protection laws in the jurisdictions in which it operates.

10.4 TCPA Compliance

All mobile and telephone communications by Venture Home are intended to comply with the Telephone Consumer Protection Act (TCPA) and applicable FCC regulations. If you believe you have received a communication in error, please contact us immediately at the information in Section 13.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal legal claim, you agree to contact us at the information provided in Section 13 and attempt to resolve the dispute informally. We will try to resolve most concerns within 30 days of receiving your notice.

11.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Venture Home agree to resolve any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the Services through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as provided in Section 11.4.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

11.3 Class Action Waiver

YOU AND VENTURE HOME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Exceptions

Either party may bring an individual action in small claims court. Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

12. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions, except to the extent that federal law applies. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of such courts.

14. Miscellaneous

Severability: If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.

Entire Agreement: These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and Venture Home relating to the subject matter herein and supersede all prior or contemporaneous communications and proposals.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. Venture Home may assign these Terms without restriction.

Force Majeure: Venture Home shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, labor disputes, supply chain disruptions, or government actions.
